End User License Agreement

This End User License Agreement (“Agreement”) is a legal agreement between you (“User”) and iAdopt (“Company,” “we,” “us,” or “our”) for the use of the iAdopt mobile application and web platform (collectively, the “Application”). By downloading, installing, or using the Application, you agree to be bound by the terms of this Agreement.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on devices that you own or control, solely for your personal, non-commercial purposes related to your adoption journey.

2. Restrictions

You agree that you will not:

  • Copy, modify, or distribute the Application or any portion thereof.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Application.
  • Rent, lease, lend, sell, sublicense, or otherwise transfer the Application or any rights therein to any third party.
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Application.
  • Use the Application for any unlawful purpose or in violation of any applicable laws or regulations.

3. Account Terms

To use certain features of the Application, you must create an account. You agree to the following:

  • You must be at least 18 years of age to create an account and use the Application.
  • You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
  • You may only maintain one account per person.
  • You must provide accurate, current, and complete information during registration.

4. Data Collection

We collect and process personal data as described in our Privacy Policy. By using the Application, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, use, and sharing of your information as described therein.

5. In-App Purchases & Subscriptions

The Application may offer in-app purchases and subscription plans. The following terms apply:

  • All billing is processed through the Apple App Store or Google Play Store, depending on your device platform.
  • Subscription plans automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period.
  • Refund requests are handled by the respective app store in accordance with their refund policies.
  • Prices are subject to change. We will notify you of any price changes before your next billing cycle.

6. Intellectual Property

The Application, including all content, features, and functionality (including but not limited to text, graphics, logos, icons, and software), is owned by iAdopt and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you upload to the Application. By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the service.

7. Termination

We may suspend or terminate your access to the Application at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated this Agreement. Upon termination:

  • Your license to use the Application will immediately cease.
  • You may request a copy of your data prior to account deletion, subject to our data export policies.
  • We may delete your account data in accordance with our data retention policies and applicable law.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IADOPT, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Apple App Store — Third-Party Beneficiary

If you downloaded the Application from the Apple App Store, you acknowledge and agree that:

  • This Agreement is between you and iAdopt only, and not with Apple Inc. (“Apple”). iAdopt, not Apple, is solely responsible for the Application and its content.
  • Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.
  • Apple is not responsible for addressing any claims by you or any third party relating to the Application, including product liability claims, legal compliance claims, or intellectual property infringement claims.
  • Apple and its subsidiaries are third-party beneficiaries of this Agreement, and upon your acceptance of this Agreement, Apple will have the right to enforce this Agreement against you as a third-party beneficiary thereof.

11. Google Play — Additional Terms

If you downloaded the Application from the Google Play Store, your use of the Application is also subject to the Google Play Terms of Service. In the event of a conflict between this Agreement and the Google Play Terms of Service, the Google Play Terms of Service shall prevail with respect to your use of the Google Play Store.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in Texas.

13. Changes to This Agreement

We reserve the right to modify this Agreement at any time. When we make changes, we will update the “Last updated” date at the top of this page and notify you via email or in-app notification. Your continued use of the Application after any changes constitutes acceptance of the updated Agreement.
